Explanation of Responses:
1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $12.25 to $12.51, inclusive. The reporting person undertakes to provide World Point Terminals, LP, any security holder in World Point Terminals, LP, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote (1) to this Form 4.
2. Represents shares owned by St. Albans Global Management, LLLP ("Global"), a Delaware limited liability limited partnership, as to which Mr. Novelly is the chairman.
3. Represents shares owned by Apex Oil Company, Inc., of which Apex Holding Co. is the sole shareholder. Mr. Novelly is the sole director of Apex Holding Co. Mr. Novelly disclaims beneficial ownership of all shares held indirectly by Apex Holding Co.
4. Represents shares owned by The Novelly Dynasty Trust (the "Dynasty Trust"), a trust established by the reporting person as to which he is neither a trustee nor a beneficiary. Mr. Novelly disclaims beneficial ownership of all shares held in the Dynasty Trust.
Remarks:
The Reporting Person is the Chairman of the Board and Chief Executive Officer of WPT GP, LLC, the general partner of the Issuer (the "General Partner"). The Issuer is managed by the directors and executive officers of the General Partner.
