Explanation of Responses:

1. Endurance Specialty Holdings Ltd. ("Endurance") indirectly owns 100 common shares, par value 1/6 cent per share (the "Montpelier Shares"), of Montpelier Re Holdings Ltd. ("Montpelier") through a wholly-owned subsidiary of Endurance. In connection with that certain Agreement and Plan of Merger, dated as of March 31, 2015, by and among Montpelier, Endurance and Millhill Holdings Ltd., Endurance has also entered into a voting agreement, dated as of March 31, 2015, with certain shareholders of Montpelier, which shareholders beneficially own more than 10% of the Montpelier Shares.
