Item 5.07. Submission of Matters to a Vote of Security Holders

 

CytoSorbents Corporation (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”) on June 4, 2019. At the Annual Meeting, the following matters were submitted to a vote of stockholders:

 

1.The election of five (5) directors to serve until the Company’s 2020 Annual Meeting of Stockholders, or until their respective successors shall have been duly elected and qualified;

 

2.The approval of the proposal to amend and restate the Company’s certificate of incorporation to increase the authorized number of shares of the Company’s common stock from 50,000,000 shares to 100,000,000 shares;

 

3.The approval of the proposal to amend the Company’s 2014 Long Term Incentive Plan to increase the authorized number of shares of the Company’s common stock available for issuance thereunder from 7,400,000 shares to 13,400,000 shares; and

 

4.The ratification of the appointment of WithumSmith+Brown, PC as the Company’s independent registered public accounting firm for the year ending December 31, 2019.

 

At the close of business on April 12, 2019, the record date for the determination of stockholders entitled to vote at the Annual Meeting, there were 32,248,580 shares of the Company’s common stock outstanding and entitled to vote at the Annual Meeting. The holders of 27,470,832 shares of the Company’s common stock were represented in person or by proxy at the Annual Meeting, constituting a quorum.

 

At the Annual Meeting, the five directors were elected, and the other proposals submitted to stockholders were approved.
