Item 1.01 Entry into a Material Definitive Agreement.
 
On January 14, 2009, MRU Funding SPV Inc. (“MRUF”), a subsidiary of MRU Holdings, Inc. (the “Company”), entered into an amendment (the “Amendment”) to its Amended and Restated Master Loan Agreement, dated as of February 1, 2007, as amended (the “Loan Agreement”), with Merrill Lynch Bank USA (“MLBU”) (the “Facility”). Pursuant to the Amendment, MRUF and MLBU amended the Facility to extend its maturity date from January 15, 2009 until February 13, 2009.
 
The foregoing description of the Amendment is qualified in its entirety by reference to the Amendment, which will be attached as an exhibit to the Company’s quarterly report on Form 10-Q for the quarterly period ended December 31, 2008 which the Company intends to file in February 2009.
