The registrant is unable to file its Quarterly Report (the "Quarterly Report") on Form 10-QSB for it’s fiscal quarter ended May 31, 2006 by the prescribed date of July 17, 2006 due to a delay with finalizing its management prepared results of operations for such period as management was unable to obtain certain information required for the preparation of the financials in a timely manner. The registrant intends to file the Quarterly Report on or prior to the prescribed extended date.
