State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed.)

Transmeridian Exploration Incorporated (the “Company”) is unable to file its 2007 Annual Report on Form 10-K for the year ended December 31, 2007 (the “2007 10-K”) by the prescribed due date of March 17, 2008, without unreasonable effort or expense, due to a delay in obtaining reserve information (the “Reserve Report”) from its independent petroleum engineers. The Reserve Report has only recently been completed, but it was not completed in time to enable the Company to complete all of the disclosure required in its 2007 10-K (including its audited financial statements) and have its 2007 10-K filed on the due date.

The Company expects that its 2007 10-K will be filed within the 15 calendar day extension permitted under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
