Explanation of Responses:
1. Arthi Trust received 4,000,000 shares of Common Stock as compensation for services Gondi rendered to Issuer as an officer and a director.
2. Twenty percent (20%) of a non-qualified option to purchase 1,000,000 of Issuer’s Common Stock, or 200,000 shares, vested and became exercisable on July 29, 2002.
3. A non-qualified option to purchase 1,000,000 shares of Issuer’s Common Stock was granted to Jawaharlal Gondi on January 29, 2002, as compensation for services rendered to Issuer as an officer and a director.
4. Twenty percent (20%) of a non-qualified option to purchase 1,000,000 of Issuer’s Common Stock, or 200,000 shares, vested and became exercisable on January 29, 2003.
5. Jawaharlal Gondi subscribed to purchase 230,000 Units in the Issuer’s Offering at a purchase price of $0.65 per Unit. Each Unit consists of 1 share of common stock and a warrant to purchase 1 share of common stock at $1.00 per share.
6. The Warrants may be exercised during the period commencing upon the date the Warrants are granted which was July 17, 2003 and ending two (2) years from that date or the date the Warrants are redeemed by the Issuer.
7. Jawaharlal Gondi was issued Warrants to purchase 230,000 shares of Issuer’s Common Stock as additional consideration for his May 2003 investment in a private placement offering (“Offering”) made by Issuer pursuant to exemptions from registration under Securities Act of 1933.
8. Twenty percent (20%) of a non-qualified option to purchase 1,000,000 of Issuer’s Common Stock, or 200,000 shares, will vest and become exercisable on January 29, 2004.
