Item 8.01. Other Events.

On April 22, 2011, The NASDAQ OMX Group, Inc. (“NASDAQ OMX”), in connection with its joint proposal with IntercontinentalExchange, Inc. (“ICE”) to acquire NYSE Euronext, received a request for additional information and documentary material (commonly known as a “second request”) from the Antitrust Division of the United States Department of Justice (the “DOJ”) in connection with the DOJ’s review of the proposed acquisition under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and the rules and regulations promulgated thereunder, as amended (the “HSR Act”). NASDAQ OMX previously disclosed on Form 8-K that it had filed its Premerger Notification and Report Form pursuant to the HSR Act two days earlier on April 20, 2011. NASDAQ OMX assumes no obligation to update this Current Report.
