Explanation of Responses:
1. Shares awarded pursuant to performance share units. The Compensation Committee authorized the issuance of the underlying shares based upon the Company's achievement level against certain financial targets as determined by the Compensation Committee. The financial targets were set by the Compensation Committee on March 3, 2010. One-third of the shares vested on February 15, 2011, with the remaining two-thirds of the shares vesting in two equal annual installments beginning on February 15, 2012.
2. Shares awarded pursuant to performance share units in connection with Reporting Person's promotion to Chief Financial Officer. The Compensation Committee authorized the issuance of the underlying shares based upon the Company's achievement level against certain financial targets as determined by the Compensation Committee. The financial targets were set by the Compensation Committee on March 3, 2010. One-third of the shares vested on February 15, 2011, with the remaining two-thirds of the shares vesting in two equal annual installments beginning on February 15, 2012.
3. The sale reported on this Form 4 was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on September 14, 2010, and amended on December 15, 2010. The shares sold were sold to cover taxes in connection with the vesting on February 15, 2011 of restricted stock units awarded on August 15, 2008, August 15, 2009, and August 15, 2010, and performance share units awarded on August 15, 2009, March 3, 2010, and August 15, 2010.
4. The sale price reported in column 4 of Table 1 represents the weighted average sale price of the shares sold ranging from $29.30 to $30.05 per share. Upon request by the Commission staff, the Issuer, or a security holder of the Issuer, the Reporting Person will provide full information regarding the number of shares sold at each separate price.
