Item 7.01 Regulation FD Disclosure.

On Friday, May 8, 2009, Blackboard Inc. (the "Company") completed its previously reported acquisition of ANGEL Learning, Inc (the "Acquisition"). On Friday, May 22, 2009, the Company received a voluntary request for information from the U.S. Department of Justice relating to the Acquisition and its related impact on competition under applicable antitrust law. The Company is in the course of providing information to the Department of Justice and believes that the Acquisition was compliant with all applicable antitrust requirements.
