ITEM 8.01.  OTHER EVENTS.

As part of its regular quarter-end review, the Fund's Valuation Committee has
determined to increase the fair values of the Fund's investments in the
following four portfolio companies by an aggregate amount of approximately $7.7
million or $.41 per share: Octagon Credit Investors, LLC, Baltic Motors
Corporation, Dakota Growers Pasta Company, Inc. and Vitality Foodservice, Inc.

For the quarter, the fair value of the Fund's portfolio has been increased by
approximately $11 million.

The Fund's net asset value as of January 31, 2006 is $10.94 per share.
