Explanation of Responses:

1. Shares are being withheld to satisfy payroll tax withholding obligations on shares of restricted stock which vested on September 15, 2008.

2. Includes 1,760 shares acquired through the Company's Employee Stock Purchase Plan and 4,967 shares acquired through the Company's 401(k) Plan matching contribution, per June 30, 2008 Plan statements

3. Includes 8,884 shares of restricted stock from May 15, 2007 grant of 10,000 restricted shares and 4,399 shares from August 31, 2007 grant of 4,800 restricted shares. Shares granted on May 15, 2007 were 25% vested on May 15, 2008, with the remainder vesting 1/48 per month over the remaining 36 months. Shares granted on August 31, 2007 vest 25% on the one-year anniversary of the grant date, and 25% annually on that same date over each of the remaining three years.
