Explanation of Responses:

1. This amendment is being filed solely to add Citigroup Venture Capital Equity Partners, L.P., CVC Partners, LLC, Citigroup Venture Capital Group GP Holdings, Ltd., and Citicorp as joint filers. The holdings reported herein are not new or revised.

3. Citigroup Venture Capital Equity Partners, L.P. is the record holder of 17,508,028 shares of Common Stock, 4,315,849 Common Stock Warrants, 6,797,046.77 shares of Series A Preferred Stock and 5,437,637.42 shares of Series B Preferred Stock. The shares reported herein also include 329,587 shares of Common Stock, 84,192 Common Stock Warrants, 127,953.23 shares of Series A Preferred Stock and 102,362.58 shares of Series B Preferred Stock held by affiliates of the Reporting Persons. Each Reporting Person disclaims beneficial ownership of the shares reported herein except to the extent of its pecuniary interest therein.
