1. Represents shares of the Issuer's Class A Common Stock held by ColFin WLH Land Acquisitions, LLC, a Delaware limited liability company ("ColFin"), on the effective date of the Issuer's Registration Statement on Form 8-A filed on the date hereof. ColFin is indirectly managed and controlled by affiliates of Colony Capital, LLC, which affiliates are solely controlled and managed by Thomas J. Barrack, Jr. As a result, solely for purposes of Sections 13(d) and 16 of the Securities Exchange Act of 1934, as amended, Mr. Barrack may be deemed to have indirect beneficial ownership of the shares held by ColFin, but disclaims beneficial ownership except to the extent of his pecuniary interest therein.
