Explanation of Responses:
1. The shares were sold pursuant to a sales plan dated August 24, 2009 (the "2009 Plan") which complies with the requirements of Rule 10b5-1(c)(1) under the Securities Exchange Act of 1934, as amended. The terms of the 2009 Plan were summarized in a Form 8-K filed with the Securities and Exchange Commission on August 27, 2009. The existence of the 2009 Plan, the total shares subject to the 2009 Plan and the date of adoption of the 2009 Plan were disclosed in priceline.com's proxy statements filed with the Securities and Exchange Commission in 2010 (page 27), in 2011 (page 33) and in 2012 (page 29).
2. Represents the weighted average sales price. The range of prices received for the reported transactions was $685.03 - $685.95. Upon request by the Commission staff, priceline.com will provide full information regarding the number of shares sold at each separate price.

14. On March 1, 2013, performance share units vested pursuant to their terms and resulted in the issuance of 37,212 shares of priceline.com common stock.
15. On March 1, 2013, 18,104 shares of common stock were withheld to satisfy certain tax withholding obligations related to the vesting of performance share units.
16. March 4, 2013 grant of 11,501 performance share units. The exact number of shares to be issued upon vesting could be as many as two times the initial grant or as little as no shares, and depends upon, among other things, the Company's financial performance. Subject to continued service, the shares, if any, will be issued on or about March 4, 2016 or earlier, in the event of, among other things, a "change in control" (as defined in the performance share unit agreement) of the Company and/or termination of employment in certain circumstances.
17. Represents "target" number of shares underlying performance share units outstanding. The actual number of shares issued, if any, could increase or decrease depending on certain performance factors.
18. Represents: (1) 15,000 shares held by a charitable foundation controlled by Mr. Boyd, and (2) 166 shares held by an immediate family member. Mr. Boyd disclaims beneficial ownership of these shares.
19. One-third of the shares vested on February 6, 2005 and the remainder vested pro-rata through February 6, 2007.
