Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 14, 2007, Mr. J. Francis Lavelle resigned as a director of Ecosphere Technologies, Inc. (the “Company”) Mr. Lavelle expressed interest in the possibility of continuing his relationship with the Company in an advisory position.
