Explanation of Responses:

1. The Shares of Common Stock are directly beneficially owned by Trinad Capital Master Fund, Ltd.

2. Trinad Management, LLC is the investment manager of Trinad Capital Master Fund and exercises voting and disposition power over the shares of Trinad Capital Master Fund. Robert Ellin is one of the managing members of Trinad Management and as such may be deemed to control Trinad Capital Master Fund and Trinad Management. Accordingly, securities owned by these entities may be regarded as being beneficially owned by Mr. Ellin. Mr. Ellin disclaims beneficial ownership in the shares held by Trinad Management and Trinad Capital Master Fund.

3. The warrant is directly beneficially owned by Trinad Management, LLC.
