2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $74.50 to $75.49, inclusive. The reporting person undertakes to provide to Whirlpool Corporation, any security holder of Whirlpool Corporation, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote.
3. As of 09/15/2009, the last dividend payment date, 84.7646 shares are held in the account of the undersigned pursuant to a broker sponsored automatic dividend reinvestment plan.
