Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

(d) On March 6, 2008, EVCI issued a press release announcing its intention to delist and deregister its common stock on or about March 28, 2008. The full text of the press release is filed as an exhibit to this report.

EVCI will file a Form 25 with the SEC on March 17, 2008 to voluntarily delist its common stock from the Nasdaq Capital Market. On March 27, 2008, the effective date of the delisting, EVCI will file a Form 15 with the SEC.
