2. 76,570 shares of Class A common stock were distributed by Katherine McKay Belk Grantor Retained Annuity Trust Number Ten dated April 26, 2010 to Reporting Person.

3. 89,731 shares of Class A common stock were distributed by Katherine McKay Belk 2012 Grantor Retained Annuity Trust dated July 24, 2012 to Reporting Person.

4. 1,106,538 shares of Class A common stock are held in Reporting Person's name and/or Katherine McKay Belk Trust dated November 6, 2000, Reporting Person's grantor trust.
