On August 15, 2006, the registrant was notified by the Over The Counter Bulleting Board (“OTCBB”), on which the registrant’s ordinary shares are listed, that if the registrant does not file its annual report for the year ended January 31, 2006 with the U.S. Securities and Exchange Commission by September 5, 2006, the registrant’s shares will be removed from the OTCBB effective September 7, 2006.
