Explanation of Responses:

1. 3,279 stock units granted in 2014 vested on the transaction date based on achievement of 2014 performance criteria and 2,146 vested resticted stock units were cancelled. 820 of the vested restricted stock units converted to common stock on a one-to-one basis on transaction date. One third of the the remaining resticted stock units convert to common stock on a one-to-one basis annually on March 13, 2016, 2017, and 2018 subject to continuing employment requirements.

2. Shares withheld for payment of taxes upon vesting of resticted stock units. The shares were not sold.
