AMP-99 Management Company LLC, its general partner, received 68,509 shares of the Company's common stock as a result of such distribution. On August 25, 2005, Ampersand 1999 Companion Fund Limited Partnership distributed 70,114 shares of the Company's common stock to its partners for no consideration pursuant to the terms of its partnership agreement.
