Explanation of Responses:
1. Stock Option Grant made to the spouse of reporting insider under the Issuer's 1999 Stock Option and Restricted Stock Plan. Grants vest over a period of four years at an annual rate of 25% of the total shares granted, commencing on the first anniversary of the grant date, as shown. (Note that spouse has subsequently left the Company and remaining options held by him will all expire on 9/4/2004.)
