Explanation of Responses:
1. The reporting person included the following information on his Form 3 filed on January 30, 2004 which is not required: (1) 481,000 shares of Common Stock held by the Robert R. Young Foundation (the "Young Foundation") of which the reporting person serves as trustee and president and (2) 225,000 shares of Common Stock held by the Jean and David W. Wallace Foundation (the "Wallace Foundation") of which the reporting person serves as trustee and president.
2. (Continued from Footnote 1) Although the reporting person has voting and dispositive power over the shares owned by each of the Young Foundation and the Wallace Foundation, he does not have a direct or indirect pecuniary interest in the shares. Therefore, in accordance with Rule 16a-1(a)(2), the shares owned by each of the Young Foundation and the Wallace Foundation should not have been included on the original Form 3. As of January 20, 2004, the only shares that the reporting person had an obligation to report are: (1) the 492,980 shares the reporting person directly owns and (2) the 122,000 shares owned by the reporting person's spouse.
