2. The reporting person exercised an employee stock option to purchase 2,500 shares at an exercise price of $12.07 per share.
3. The reporting person exercised an employee stock option to purchase 20,000 shares at an exercise price of $1.37 per share.
4. The reporting person exercised an employee stock option to purchase 10,000 shares at an exercise price of $0.77 per share.
5. The reporting person exercised an employee stock option to purchase 20,000 shares at an exercise price of $4.35 per share.
6. The reporting person exercised a portion of an employee stock option to purchase 20,000 shares at an exercise price of $3.37 per share.
7. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $14.29 to $14.295, inclusive. The reporting person undertakes to provide to Sunrise Senior Living, Inc. ("Sunrise"), any security holder of Sunrise, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote to this Form 4.
8. Represents an employee stock option to purchase 20,000 shares granted to the reporting person on December 23, 2008. The employee stock option to purchase 20,000 shares vested in three equal installments on December 23, 2009, December 23, 2010 and December 23, 2011.
9. Represents an employee stock option to purchase 10,000 shares granted to the reporting person on February 25, 2009. The employee stock option to purchase 10,000 shares vested in three equal installments on February 25, 2010, February 25, 2011 and February 25, 2012.
