AMENDMENT NO. 12 TO RESTATED MANAGEMENT AGREEMENT


    THIS AMENDMENT NO. 12 TO RESTATED MANAGEMENT AGREEMENT (“Amendment”) is effective as of the 1st day of August, 2022 (the “Effective Date”), by and between AMERICAN CENTURY MUTUAL FUNDS, INC., a Maryland corporation (hereinafter called the “Corporation”), and AMERICAN CENTURY INVESTMENT MANAGEMENT, INC., a Delaware corporation (hereinafter called the “Investment Manager”).

    WHEREAS, the Corporation and the Investment Manager are parties to a certain Restated Management Agreement effective as of August 1, 2011, and amended effective as of September 30, 2011, July 26, 2013, August 1, 2014, December 1, 2016, April 10, 2017, July 31, 2017, August 1, 2018, April 1, 2019, August 1, 2019, August 1, 2020 and March 1, 2022 (“Agreement”);

WHEREAS, the parties hereto desire to enter into this Amendment to reflect a change in the fee schedule of the series of shares titled Sustainable Equity Fund;

WHEREAS, the parties hereto desire to enter into this Amendment to amend the definition of “Investment Team”;

WHEREAS, the parties hereto desire to enter into this Amendment to reflect the merger of the series of shares titled NT Growth Fund into the series of shares titled Growth Fund; and

WHEREAS, the parties hereto desire to enter into this Amendment to reflect the merger of the series of shares titled NT Heritage Fund into the series of shares titled Heritage Fund.

    NOW, THEREFORE, IN CONSIDERATION of the mutual promises and agreements herein contained, the parties agree as follows:

1.Amendment of Section 6 (b). Section 6 (b) of the Agreement is hereby amended by deleting paragraph 6(b)(1) in its entirety and inserting in lieu therefor the following.
(1)An “Investment Team” is the portfolio managers that the Investment Manager has designated to manage a given portfolio, excluding any portfolio manager whose role relates primarily to exchange-traded fund-specific considerations.

2.    Amendment of Schedule A. Schedule A to the Agreement is hereby amended by deleting it in its entirety and replacing it with the Schedule A attached hereto.

    3.    Ratification and Confirmation of Agreement. In the event of a conflict between the terms of this Amendment and the Agreement, it is the intention of the parties that the terms of this Amendment shall control and the Agreement shall be interpreted on that basis. To the extent the provisions of the Agreement have not been amended by this Amendment, the parties hereby confirm and ratify the effectiveness of those provisions of the Agreement.

    4.    Full Force and Effect. Except as expressly supplemented, amended or consented to hereby, the representations, warranties, terms, covenants and conditions of the Agreement shall remain unamended and shall continue to be in full force and effect.
