Explanation of Responses:
1. Reflects an award of restricted stock under the 2000 Stock Incentive Plan which vests under the terms of a Restricted Stock Agreement between the Company and the reporting person. If the reporting person remains an employee of the Company, 25% of the shares will vest on each of the first, second, third and fourth anniversaries of the grant date.
2. Reflects awards of restricted stock under the 2000 Stock Incentive Plan which vest under the terms of a Restricted Stock Agreement between the Company and the reporting person. 25% of the shares will vest on each of the first, second, third and fourth anniversaries of the grant date subject to the achievement or overachievement of certain performance criteria. If these criteria are not achieved or overachieved, the portion of the awards vesting on such vesting date will be forfeited.
3. Reflects shares allocated to the reporting person's account under the Company's 401(k) plan as of December 31, 2006.
4. 25% of the shares will become exercisable on each of the first, second, third and fourth anniversaries of the grant date.
