Delayed Pricing for Certain Registrants
Overview
The Securities and Exchange Commission ("Commission') is publishing for comment proposed amendments to Rule 430A under the Securities Act to permit certain smaller reporting companies to price securities on a delayed basis after effectiveness of a registration statement, if they meet specified conditions. These proposals are intended to enhance flexibility and efficiency for qualified companies, consistent with investor protection, by enabling them more easily to time their offerings to advantageous market conditions.
